1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of Ecounta's business management platform and related services (the "Services"). By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us promptly of any unauthorized use of your account
3. Description of Services
Ecounta provides a business management platform that may include, among other features, invoicing, point of sale, inventory, customer relationship management, HR, and financial reporting tools. We may add, modify, or remove features at any time and will make reasonable efforts to notify you of material changes.
4. Subscriptions, Fees, and Billing
- Certain features require a paid subscription. Fees are described on our pricing page and may change with prior notice.
- Subscriptions renew automatically for successive billing periods unless cancelled before the renewal date.
- Fees are non-refundable except where required by law or expressly stated otherwise.
- You authorize us (or our payment processor) to charge your chosen payment method for all applicable fees.
- Failure to pay may result in suspension or termination of your access to paid features.
5. Your Data and Content
You retain ownership of all business data, records, and content you submit to the platform ("Your Data"). You grant us a limited license to host, process, and display Your Data solely to provide and improve the Services. You are solely responsible for the accuracy, legality, and permissions related to Your Data.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable regulation
- Attempt to gain unauthorized access to the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or attempt to extract the source code of the Services
- Resell, sublicense, or provide the Services to third parties without our consent
- Upload malicious code or content that infringes the rights of others
7. Intellectual Property
The Services, including all software, design, text, graphics, and trademarks, are owned by Ecounta or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you to use the Services, no other rights are granted.

The Services may integrate with or link to third-party services (e.g., payment processors, messaging platforms). We are not responsible for the availability, accuracy, or practices of these third parties, and your use of them is subject to their own terms.
9. Suspension and Termination
We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, misuse the Services, or fail to pay applicable fees. You may cancel your account at any time. Upon termination, your right to use the Services ceases, though certain provisions of these Terms will survive termination.
10. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
11. Limitation of Liability
To the maximum extent permitted by law, Ecounta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Services. Our aggregate liability for any claim relating to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold Ecounta harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, Your Data, or your violation of these Terms.
13. Governing Law
These Terms are governed by and construed in accordance with applicable local laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction where Ecounta operates.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
